Terms of Service

Effective October 13, 2026

These Terms cover what you can expect from Octoriq and what we expect from you: how accounts and API keys work, what the Service may and may not be used for, how outputs and actions should be treated, and how billing works.

1.Agreement and operator

These Terms of Service (“Terms”) govern your access to and use of Octoriq Router, including the website at octoriq.ai, the dashboard at dash.octoriq.ai, the API at api.octoriq.ai, and any related documentation and interfaces such as the A2A endpoint (together, the “Service”).

The Service is provided by Octoriq (“Octoriq”, “we”, “us”). Octoriq is in early access and is currently operated by its founder ahead of incorporation. When a legal entity is formed, it will become the contracting party under these Terms; we will update this page and notify account holders.

By creating an account, creating or using an API key, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” refers to that organization. If you do not agree, do not use the Service.

2.The Service

Octoriq accepts a goal, selects an execution strategy across models, APIs, tools and agents, executes it, checks the result against capability-specific verification rules, and returns the result together with route, cost and execution details.

A job is reported as completed only when its verification passes. Verification consists of automated, rule-based checks defined for each capability — for example that research citations come from sources retrieved during the job, that output matches a requested schema, or that an action can be read back from the target service. These checks reduce the risk of incorrect results; they do not guarantee that a result is true, complete or suitable for your purpose.

3.Early access and Beta features

The Service is offered as early access. Capabilities and integrations are labeled on our website as Available, Beta or Planned. Beta features are built and tested but may change, be limited or be removed; Planned features are not yet offered.

We do not currently offer a service-level agreement. We may change, suspend or discontinue any part of the Service, including API behavior, with reasonable notice where practical. We version the public API contract and aim to avoid breaking changes without notice.

4.Accounts, workspaces and API keys

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • Provide accurate account information and keep it up to date.
  • Each account has a workspace. Workspace owners manage API keys, connections, registered servers and agents, and are responsible for the members they invite and the roles they assign.
  • API keys are shown once. Keep them secret, do not embed them in client-side code, and revoke any key you believe is exposed. You are responsible for all activity under your account and keys until you revoke them.
  • Notify us promptly at [email protected] of any unauthorized use of your account.

5.Acceptable use

You must not use the Service, or allow others to use it, to:

  • break any law or regulation, or infringe or misappropriate anyone’s rights, including privacy and intellectual property;
  • send spam or unsolicited bulk messages, or take actions on accounts you are not authorized to use;
  • create, distribute or facilitate malware, phishing, fraud, harassment or content that exploits or harms minors;
  • attack, probe or disrupt any system, including ours, our providers’ or third parties’, or bypass security, rate limits, sandboxes or domain restrictions;
  • scrape or access websites in violation of their terms or technical restrictions;
  • submit data you have no right to share, or special categories of personal data without a lawful basis;
  • use outputs to make solely automated decisions with legal or similarly significant effects on individuals without appropriate human review;
  • violate the usage policies of the model, tool and infrastructure providers a job uses;
  • resell or provide the Service to third parties as a standalone product without our written permission, or use it to build a competing service by copying its contracts or behavior;
  • reverse engineer the Service except where the law allows it despite this restriction.

We may refuse, rate-limit or stop jobs, and suspend keys or accounts, that we reasonably believe violate these rules or put the Service, providers or others at risk.

6.Your content

“Your Content” means the goals, inputs, schemas, files, connection data and other material you submit, and the results the Service produces for you. As between you and us, you own Your Content.

You grant us a worldwide, non-exclusive license to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service, including sending it to the providers a job’s route uses. We do not use Your Content to train AI models and do not sell it.

We may use aggregated, de-identified execution metrics derived from jobs — such as success, verification and reroute rates, latency and cost per executor — to operate and improve routing (for example AgentRank). These metrics do not contain Your Content.

You are responsible for Your Content and for having all rights and permissions needed to submit it, including any personal data of others. Our Privacy Policy describes how we handle personal data.

7.Actions on connected accounts and approvals

Some capabilities act in the world on your behalf — for example sending an email from a connected Gmail account or creating a calendar event. Such actions run only through a permission policy, and actions that require approval run only after an authorized member of your workspace approves the exact payload shown.

You are responsible for reviewing payloads before approving them and for the actions you approve. Approved actions may not be reversible. We do not automatically retry actions with side effects unless repeating them is known to be safe.

When you connect a third-party account, you authorize us and our connection provider to access it within the scopes you grant, for the purposes of your jobs. You can disconnect it at any time in the dashboard.

8.AI outputs

Results are produced with machine-learning models and third-party services and may be inaccurate, incomplete, outdated or inconsistent, even when verification passes. Sources cited in research results are third-party content that we do not control.

You are responsible for evaluating outputs before relying on them, especially for legal, medical, financial or other high-stakes decisions. Outputs are not professional advice. Similar requests may produce different results.

9.Third-party services

The Service relies on third-party providers, including model, search, sandbox, browser, connection, payment and email providers, and on MCP servers and A2A agents that you register. Their availability, behavior and terms are outside our control, and your use of them through the Service may also be subject to their terms.

You authorize us to send the data a job needs to the providers its route uses. Servers and agents you register are your choice and responsibility; we treat what they return as untrusted data.

Naming a provider on our website does not imply a partnership or endorsement.

10.Fees, credits and payment

  • Paid use is based on prepaid credits purchased through Stripe. Prices and the platform fee are shown before you buy credits. We will publish public pricing before general availability.
  • A job is charged only when it completes with a passing verification. The charge covers the provider cost of the execution path that delivered the result plus the platform fee. Failed and cancelled jobs, failed attempts and reroutes are not charged to you.
  • If you set max_cost_usd on a job, the charge for that job will not exceed it. When credit billing is enabled, a job may be refused if your available balance cannot cover it.
  • Credits are tied to one workspace, have no cash value and are not transferable. Refunds are handled through Stripe on request or as required by law; credits from refunded or disputed payments are removed from the balance.
  • Prices exclude taxes unless stated otherwise; you are responsible for applicable taxes.
  • We may change prices with at least 30 days’ notice. Changes do not affect credits already purchased or charges already incurred.

Each job reports its provider cost, platform fee and customer cost. If you believe a charge is wrong, contact us within 60 days at [email protected] and we will review it against the ledger.

11.Our intellectual property and feedback

The Service, including its software, routing and verification logic, documentation, design and brand, is owned by us or our licensors and protected by law. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service according to these Terms; no other rights are granted.

If you send us feedback or suggestions, we may use them without restriction or compensation. Job feedback you submit through the API is used as described in Your content.

12.Suspension and termination

You may stop using the Service at any time and ask us to close your account by emailing [email protected].

We may suspend or terminate your access if you materially breach these Terms, if required by law, if your use creates a security or legal risk, or if we discontinue the Service. Where reasonable, we will give notice and a chance to fix the issue first. If we discontinue the Service for reasons other than your breach, we will refund unused prepaid credits.

On termination your right to use the Service ends. Sections that by their nature should survive — including fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law — survive. Data is handled as described in the Privacy Policy.

13.Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation. Nothing in these Terms excludes rights you have under law that cannot be excluded.

14.Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the Service or these Terms;
  • our total liability for all claims arising out of or related to the Service or these Terms is limited to the greater of (a) the amounts you paid us for the Service in the three months before the event giving rise to the claim, and (b) USD 100.

These limits do not apply to liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct.

15.Indemnity

You will defend and indemnify us against third-party claims, and related losses and reasonable costs, arising from Your Content, actions you approve on connected accounts, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

16.Governing law and disputes

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law rules.

If a dispute arises, please contact us first at [email protected]; both parties will try in good faith to resolve it within 30 days. If it is not resolved, it will be submitted to the competent courts of Vietnam. Nothing in this section prevents either party from seeking urgent injunctive relief, or deprives consumers of protections they have under the mandatory laws of their country of residence.

17.Changes and general terms

We may update these Terms. The effective date at the top shows the current version. For material changes we will give at least 15 days’ notice by email or in the dashboard; continuing to use the Service after they take effect means you accept them.

These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor, including the entity formed when Octoriq incorporates. Neither party is liable for delays caused by events beyond its reasonable control.
